Acceptance of the Terms and Conditions

These Terms and Conditions are entered into by and between You and Third Round Analytics Capital, LLC (“TRAC,” “we,” or “us”). The following terms and conditions govern your access to and use of tracvc.com, including any content, functionality, and services offered on or through tracvc.com (the “Website”), whether as a guest or a registered user.

You may use the Website only if you agree to the terms defined in this agreement and have a business relationship directly with TRAC, and are not a person barred from receiving services under the laws of the applicable jurisdiction. If there is a conflict between the provisions of these Terms and Conditions and another TRAC Agreement and unless otherwise expressly agreed by the parties in writing that specific terms of these Terms and Conditions shall supersede specific provisions the other Agreement, but all provisions of your other agreement(s) with TRAC shall prevail.

IN NO EVENT SHALL THE AGGREGATE LIABILITY OF THE TRAC PARTIES EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (U.S. $100.00) OR THE AMOUNT YOU PAID TRAC, IF ANY, IN THE PAST SIX MONTHS FOR THE WEBSITE OR THE SPECIFIC SERVICES GIVING RISE TO THE CLAIM. THE LIMITATIONS OF THIS SUBSECTION SHALL APPLY TO ANY THEORY OF LIABILITY, WHETHER BASED ON WARRANTY, CONTRACT, STATUTE, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, AND WHETHER OR NOT THE TRAC PARTIES HAVE BEEN INFORMED OF THE POSSIBILITY OF ANY SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

Indemnification

You agree to defend, indemnify, and hold harmless TRAC, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms and Conditions or your use of the Website, including, but not limited to, any use of the Website’s content, services, and products other than as expressly authorized in these Terms and Conditions, or your use of any information obtained from the Website.

Governing Law and Jurisdiction

All matters relating to the Website and these Terms and Conditions, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of California without giving effect to any choice or conflict of law provision or rule (whether of the State of California or any other jurisdiction).

Any legal suit, action, or proceeding arising out of, or related to, these Terms and Conditions or the Website shall be instituted exclusively in the federal courts of the United States or the courts of the State of California, although we retain the right to bring any suit, action, or proceeding against you for breach of these Terms and Conditions in your country of residence or any other relevant country. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.
